GENERAL TERMS AND CONDITIONS

ARTICLE 1. GENERAL PROVISIONS

(1) Spektar Printing House is a manufacturer of polygraphic production.

(2) The manufacturing and delivery of a part of the assortment of the Printing House may be ordered via an online shop too.

(3) The present General Terms and Conditions shall apply to all contracts for manufacturing and delivery of polygraphic production of the Printing House, which are entered into from distance, including via the online shop of the Printing House.

ARTICLE 2. ONLINE SHOP

(1) The online shop of Spektar Printing House (Spektar Web2Print Shop) is a software on URL web2print.spektar.bg, enabling persons to view, order/assign and pay for the manufacturing and delivery of a product/s from the assortment of the polygraphic production manufactured by the Printing House.

(2) In order to use the complete functionality of the online shop, the customer must have an account and for this purpose the customer must provide a first name and surname of a customer – natural person/ respectively – of a person negotiating on behalf of a customer – legal entity, e-mail address and an access password.

(3) For the sake of clarity, the steps for the conclusion of the contract for manufacturing and delivery of polygraphic production via the online shop are detailed in Article 8 of the present General Terms and Conditions.

ARTICLE 3. CONSENT TO ELECTRONIC COMMUNICATION

(1) The parties agree that all statements to each other in relation to the entry into and performance of the contract for the manufacturing and delivery of polygraphic production can be made electronically and through electronic statements within the meaning of the Electronic Document and Electronic Certification Services Act and the Electronic Commerce Act.

(2) The Printing House shall have the right to keep in log files on its server the IP address of the customer, as well as any other required information, necessary for customer identification and reproduction of the customer’s electronic statements, including the one for acceptance of the present General Terms and Conditions.

ARTICLE 4. REQUEST FOR AN OFFER FOR MANUFACTURING AND DELIVERY

(1) A request for an offer can be made by the customer in a free-text form, via the contact form located on https://spektar.bg/contactus, as well as by e-mail to the Commercial Department of Spektar Printing House.

(2) When a request refers to products, the manufacturing of which is accessible for online orders, the request may also be generated by the customer via the online shop of Spektar Printing House in a free-text form via the contact form http://web2print.spektar.bg/contact or by the use of a drop-down menu interface. In the latter case, the customer shall choose whether to send the request about the manufacturing of the product thus configured to Spektar Printing House via the contact form (by the “Contact the Commercial Department” button), which allows the customer to receive an optimal offer, or to continue the procedure via the online shop.

(3) In order to continue the procedure via the online shop, the customer is required to enclose also to the request the PDF files to be printed in such format and with such specifications as are compliant with the technical requirements for offset printing.

(4) By submitting the request, the customer confirms that he/she has acquainted with and accepts the present general terms and conditions.

ARTICLE 5. CALCULATION AND OFFER

(1) On the basis of the received request, Spektar Printing House shall prepare a calculation and send the customer by email/ resp., in the account of the online shop, an offer containing information for the price for manufacturing and transportation costs that has a period of validity of 15 calendar days.

(2) If in the course of the subsequent specification of the assignment, a discrepancy is found in terms of format, number of pages, colours, incorrect or corrupt files, the offer shall be subject to correction with respect to the initially offered price and transportation costs.

(3) Any acceptance of the offer must be made by the customer within the established deadline, with an explicit written statement. The written form shall also be considered complied with if the statement is made electronically – by email or via the interface of the e-shop.

(4) Orders exceeding EUR 5,000 shall require that the confirmation is made by the return of a signed and sealed offer by the customer.

ARTICLE 6. ORDER

(1) In order to finish the order, by which the customer assigns the manufacturing of the polygraphic production with the parameters approved by the order, the customer must choose a method of delivery and payment, provide the Printing House with all the necessary individualizing personal and company data, including VAT registration, as well as the files, the printing of which the customer assigns.

(2) The customer undertakes to keep up-to-date his/her/its personal and company contact details in the correspondence with Spektar Printing House and in his/her/its account in the online shop – telephone number, email, delivery address. If the Customer changes the submitted contact details without notifying the Printing House, the latter shall not be held liable for the adverse consequences taking place as a result of notices that have not been received and production that has not been delivered.

(3) The orders for manufacturing of polygraphic production shall be executed on the basis of files submitted by the customer, in such format and with such technical characteristics as approved by the Printing House.

(4) The Printing House shall not have an obligation to check the files submitted by the customers for errors in their contents, respectively shall not bear liability for errors in the contents of the polygraphic products in case such errors are contained in the file submitted by the customer.

(5) The Printing House shall have the right to refuse an order that contains materials violating the legislation in force in the Republic of Bulgaria and the good morals or when the files submitted by the customer do not meet the print requirements.

(6) The handover of files shall be carried out via the interface of the online shop or through the Prinect Portal system, for which the customer shall receive access through a username and password. The system shall enable uploading, approval of files and downloading of corrected files. The customer shall bear liability for protecting the secret of the Prinect Portal system access password. Spektar Printing House shall not be held liable for damages resulting from a violation of this requirement.

(7) Following the receipt of an email/resp. a notice in the e-shop user account for a created order for manufacturing, the customer shall be enabled to upload the files, the printing of which the customer assigns, to the Prinect Portal system or, if explicitly set for the ordered product – directly via the online shop.

(8) Spektar Printing House shall carry out installation, automatic and/or manual checks and corrections of the files sent and then it shall notify the customer – by an email/ respectively by a notice in the e-shop user account – of the need to finally confirm the files to be printed.

(9) The customer shall approve the files through the Prinect Portal system or in writing – by email.

ARTICLE 7. ORDER CONFIRMATION (ENTRY INTO OF THE CONTRACT)

By the final customer’s approval of the files in the Prinect Portal system or by email, the parties consider the contract for manufacturing and delivery of polygraphic production entered into and the Printing House shall commence the manufacturing of what has been assigned. This is the initial moment of the period for manufacturing of the assigned polygraphic production.

ARTICLE 8. STEPS FOR ENTRY INTO OF THE CONTRACT VIA THE ONLINE SHOP

(1) Once the Customer has logged into his/her/its account in the online shop, the Customer shall generate a request for offer for the manufacturing and delivery of polygraphic production through a dropdown menu interface. Summarised information for the request shall be visualized, as well as a price offer for different total prints, deadline for submission of the order, time for manufacturing.

(2) In case that the customer wants any additional details and receipt of an optimal offer, at this stage of the procedure the customer may contact the Commercial Department of the Printing House via the “Contact the Commercial Department” button.

(3) In case of acceptance of the offer without the additional “Contact the Commercial Department” step, the customer shall enclose the PDF files for printing in such format and with such specifications as are compliant with the technical requirements for offset printing, specify the desired total print and continue by submitting the order by the “Add to cart” button.

(4) The customer shall be given the opportunity to update the order and to add a discount code. At this stage of the procedure, the customer shall be able to check the total price for the service by selecting a method of delivery – on the spot or through named transportation companies. Once an option is selected, the total value of the service, inclusive of VAT, shall be visualized, as it shall include the manufacturing price and the delivery price, after deduction of a discount, if any.

(5) By pressing the “Order” button, the customer proceeds to the stage of specification of a delivery address, where the customer shall be able to update the delivery and invoicing data (including a VAT number), in case they differ from the details the customer has submitted in the customer’s account. At this stage, the method of delivery selected by the customer must be finally stated.

(6) By pressing the “Next” button, the customer proceeds to the checkout stage, at which the customer can choose payment by bank or make a debit/credit card payment. A summary of the order shall be visualized, whereby the customer shall have the opportunity to correct the delivery address and delivery method chosen. Before continuing, the customer must confirm that the customer agrees with the General Terms and Conditions and the Personal Data Protection Policy.

(7) Once the “Place an Order” button is pressed, the order shall be submitted to the Printing House. The customer shall receive a confirmation email showing the contents of the order.

(8) The customer’s account contains, in My Orders section, all the information for the order placed, as well as its status.

(9) Spektar Printing House shall perform installation, automatic and/or manual checks and corrections of the files sent and then it shall by an email message or a notice in the e-shop user account notify the customer of the need to finally confirm the files to be printed.

(10) Once the files are finally approved by email by the customer, the parties shall consider the contract for manufacturing and delivery of polygraphic production entered into and the Printing House shall start the manufacturing of what has been assigned. This is the moment, from which the period for manufacturing of the assigned polygraphic production starts.

ARTICLE 9. CHANGE AND CANCELLATION OF THE ORDER. CONTRACT REPUDIATION

(1) As long as the polygraphic production is manufactured on the customer’s order and in accordance with the customer’s customized requirements, contract repudiation within the meaning of the Consumer Protection Act cannot be made if the performance thereof by the Printing House has started.

(2) Any change in the order after this moment shall result in the determination of a new price offer and a change in the manufacturing deadline.

(3) Each reprint or restart of the manufacturing process on account of discrepancies or errors that have not been communicated by the customer shall be entirely on account of the customer.

(4) Order cancellation by the customer after the confirmation of the order shall only be possible if all the costs incurred by Spektar Printing House for the manufacturing, transportation and purchased raw materials are paid.

ARTICLE 10. PRICE FOR MANUFACTURING AND DELIVERY. PAYMENTS.

(1) For the manufacturing and delivery of the assigned polygraphic production, the customer shall owe the Printing House the payment of such price, in such amount and within such deadline as finally stated in the order.

(2) The price should be paid by bank to Spektar Printing House not later than the moment of handover of the ready polygraphic production, unless a separate agreement between the parties provides for otherwise.

(3) When the order is submitted through the online shop, the payment of the price can be made by a credit/debit card or via PayPal through the platform or by bank, and the amounts must be received to the account of Spektar Printing House within up to 5 days from the placement of the order.

(4) Submission of a claim on the part of the customer shall not release the customer from the obligation to make payment within the agreed time-limits.

ARTICLE 11. TRANSPORT AND DELIVERY

(1) The customer may receive the finished polygraphic production in person or by an explicitly authorized person on the spot, in the printing base of Spektar or on an address the customer has specified in the order.

(2) Spektar Printing House shall deliver the manufactured polygraphic production to the address specified by the customer in the order by using transport companies determined by the Printing House.

(3) The customer shall be bound to check the condition and amount of the received polygraphic production upon receipt and – if shortages and damages are found – to write an objection in the transport documents.

ARTICLE 12. CLAIMS

(1) Claims for shortages can only be made upon receipt of the ready production.

(2) In case of dissatisfaction with the quality of the manufactured production, the Customer shall have the right to file within up to 14 days from the receipt thereof a written claim to Spektar Printing House.

(3) In case of a claim under Paragraph 2, the customer shall be bound to make available to the Printing House as a proof of the defects in the production 5% of the delivered counterparts but no less than 50 pcs.

(4) The parties agree that the presence of poor-quality (waste) pieces that do not exceed 2% of the entire production shall not be a ground for a claim.

ARTICLE 13. INTELLECTUAL PROPERTY RIGHTS

(1) The customer represents that the manufacturing of the assigned polygraphic production shall not cause a violation of the effective legislation, including a violation of third parties’ intellectual property rights, including – copyrights, rights in trademarks, industrial design, etc.

(2) The customer shall be responsible as at the moment of printing of the intellectual property objects contained in the files for the ensuring of all the necessary permits, licenses, etc., for the compliance with the administrative procedures and for the payment of all related costs.

(3) In case that third parties bring claims against Spektar Printing House for a violation within the meaning of the preceding Paragraphs, the customer undertakes to immediately indemnify the Printing House in full.

ARTICLE 14. PERSONAL DATA

(1) As a personal data controller, Spektar Printing House shall take all the measures necessary to protect the customers’ personal data in compliance with Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (General Data Protection Regulation/GDPR) and the Personal Data Protection Act.

(2) The personal data collected, processed and stored by Spektar Printing House shall only serve for entry into and performance of the contract for the manufacturing and delivery of polygraphic production and for legal compliance purposes.

(3) Spektar Printing House shall not have access to card and authentication details of the customer.

(4) The customer undertakes to keep secret the customer’s passwords for access to the customer’s account in the online shop of Spektar Printing House and the Prinect Portal system.

(5) The personal data protection measures that the Printing House apply are detailed in the Privacy Policy (link).

ARTICLE 15. GOVERNING LAW AND JURISDICTION

(1) All legal relations between Spektar Printing House and the customer shall be governed by the legislation in force in the Republic of Bulgaria.

(2) Disputes that may have arisen between the parties will be resolved by negotiations in the spirit of mutual understanding and when it is not possible to reach an agreement, they will be referred to the court having subject-matter jurisdiction in the city of Sofia.

ARTICLE 17. NULLITY

The nullity of one or several clauses of the present General Terms and Conditions shall not affect the validity of the other clauses, which remain fully applicable.

ARTICLE 18. AMENDMENT TO THE GENERAL TERMS AND CONDITIONS

Spektar Printing House reserves the right to amend the present General Terms and Conditions. The general terms and conditions applicable to the relations between the parties are those found on URL https://web2print.spektar.bg/terms-condition

as at the date of submission of the request.
